Terms of Service
Last updated: 2 April 2026 · These terms apply to all projects and services delivered by Synsify.
1. About Synsify
Synsify is a digital product studio based in Kampala, Uganda. We design, engineer, and ship web systems, applications, and digital products. By commissioning work from Synsify or using our website, you agree to these terms.
These terms, together with any signed proposal or statement of work, constitute the entire agreement between you and Synsify for the services described.
2. Proposals and project agreements
All projects begin with a written proposal that specifies the scope of work, deliverables, timeline, and fixed price. No work begins until:
- Both parties have agreed to the proposal in writing (email confirmation is sufficient).
- The agreed deposit has been received by Synsify.
The proposal is fixed-price. Changes to the agreed scope after sign-off will be assessed and quoted separately. Synsify will not begin scope-change work without written agreement on the additional cost.
3. Payment terms
Payment is structured as outlined in your project proposal. Standard terms are:
- Deposit — paid before work begins, as specified in the proposal (typically 40–50% of the total).
- Final payment — due before the final deliverable is handed over or the site is made live.
- Milestone payments — where applicable, as specified in the proposal.
Payments are accepted via bank transfer, MTN Mobile Money, Airtel Money, or other methods agreed in writing. All prices are in USD unless otherwise stated. UGX pricing is calculated at the prevailing exchange rate at time of proposal.
Late payments may result in work being paused. Outstanding invoices older than 30 days may incur a late payment fee of 5% per month.
4. Refund policy
The deposit is non-refundable once work has commenced. Work is considered commenced when Synsify begins any design, research, or development activity related to your project.
If Synsify is unable to deliver the agreed scope due to circumstances within our control, we will refund the proportionate value of undelivered work.
Milestone or final payments are non-refundable once the corresponding deliverable has been approved or accepted by the client.
5. Client responsibilities
You agree to:
- Provide all required assets, content, credentials, and information within the timeframe agreed in the project proposal.
- Respond to review requests and provide consolidated feedback within 5 business days of receiving a draft or deliverable.
- Ensure that all content, images, and materials you provide do not infringe third-party intellectual property rights.
- Nominate a single point of contact on your side to manage the project relationship with Synsify.
Delays caused by late delivery of client materials may extend the agreed project timeline. Synsify is not liable for delays attributable to the client.
6. Ownership and intellectual property
Upon receipt of final payment, all intellectual property rights in the final deliverable — including code, design files, and content created by Synsify specifically for your project — transfer to you.
Synsify retains the right to:
- Display the completed work in our portfolio and use it for marketing purposes, unless you specifically request otherwise in writing before project commencement.
- Retain ownership of any general-purpose frameworks, libraries, tools, or components developed prior to or independently of your project, which may be incorporated into the deliverable under licence.
Third-party software, fonts, stock images, or other licensed assets incorporated into your project remain subject to their respective licence terms. Synsify will identify any such assets in the project handover.
7. Post-launch support
All projects include a post-launch support period as specified in the proposal (typically 30 or 60 days). During this period, Synsify will fix any bugs or issues that arise from our work at no additional charge.
Post-launch support does not cover:
- New features or changes to the agreed scope.
- Issues caused by client modifications to the delivered code.
- Third-party service outages (hosting, payment processors, CMS platforms, etc.).
- Content updates or additions.
After the support period, ongoing maintenance and updates are available on a pay-as-you-go basis.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the project. This includes business plans, financial data, technical specifications, and client lists. This obligation survives the end of the project.
Synsify will not share your confidential information with third parties except as required to deliver the project (e.g. hosting providers, payment processors) or as required by law.
9. Limitation of liability
Synsify's total liability for any claim arising from a project shall not exceed the total amount paid by you for that project.
Synsify is not liable for indirect, consequential, or incidental damages, including lost profits, loss of data, or business interruption, arising from the use or inability to use the delivered product.
We are not liable for issues arising from third-party services, hosting providers, or platforms that are outside our control.
10. Termination
Either party may terminate the project agreement with 14 days written notice. In the event of termination:
- You are liable for payment of all work completed up to the termination date, at the pro-rata rate implied by the fixed project price.
- Synsify will deliver all completed work to you within 10 business days of termination.
- The deposit is non-refundable.
11. Governing law
These terms are governed by the laws of Uganda. Any disputes arising from these terms or from a project agreement shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Uganda.
12. Changes to these terms
We may update these terms from time to time. The terms that apply to your project are those in force at the date your proposal was signed. Updated terms apply to new projects only.
